How To Search The BVI Companies Registry From The UAE

In this article

A UAE bank, free zone authority or business partner may ask for documents relating to your BVI company. The request could concern its incorporation, directors, shareholders, beneficial owners or current standing. Some of this information is filed with the BVI Registrar, but filing does not automatically make it public. The document you need, and the form in which it must be supplied, depend on who is asking and why. This guide explains the main BVI information requirements and how SFM can help you respond to document requests from the UAE.

What Information Must a BVI Company Maintain and File?

A BVI company must keep accurate information about the people who own and manage it. Several records must also be filed with the BVI Registrar of Corporate Affairs. The company and its registered agent need current information to meet these obligations.

Information What it records Main requirement
Register of members The company’s legal shareholders and their shareholdings A copy must generally be filed with the Registrar and updated when membership changes
Register of directors The people appointed to manage the company A copy must be filed with the Registrar and kept current
Beneficial ownership information Individuals who ultimately own or control the company The required information must generally be filed with the Registrar and updated when it changes
Annual financial return A summary of the company’s financial position Most BVI companies must provide it to their registered agent each year

Some companies qualify for specific exemptions or modified requirements. SFM can help you identify which obligations apply to your company and what information is needed to keep its records current.

Shareholders and beneficial owners are different

A shareholder is the person or entity entered in the register of members. A beneficial owner is an individual who ultimately owns or controls the company. If shares are held through another company, the BVI company may need to identify the individuals behind that ownership chain.

BVI beneficial ownership rules can apply where an individual directly or indirectly owns or controls at least 10% of the shares or voting rights. They can also apply through rights to appoint or remove directors or other forms of management control. A company should therefore review control as well as the names on its share register.

Changes need prompt attention

A share transfer, new director or change in beneficial ownership can create a filing obligation. The company should tell SFM as soon as a change is planned or occurs, with the supporting information needed to update its records. Waiting until a bank or authority asks for documents can delay a transaction if the company’s records no longer match its current structure.

Does Filing Sensitive Information Make It Public?

No. BVI filing requirements and public access are separate matters. The Registrar holds information that is subject to access restrictions. This distinction matters when a UAE institution requests evidence of ownership or control.

The filed register of members is generally private unless the company elects to make it public. The full register of directors is also generally restricted, although a list of current directors can be requested. Beneficial ownership information is not an ordinary public company record. Access may be available to authorised bodies or, in certain circumstances, through the BVI legitimate interest regime.

A public company search may help confirm basic details, such as the company’s name, registration number and status. It will not necessarily provide the shareholder or beneficial ownership evidence that a bank, free zone authority or compliance team needs. If an institution asks for sensitive company information, contact SFM with the request. We can help establish what document is appropriate and coordinate its provision, subject to the applicable access and authorisation requirements.

Which BVI Documents Might a UAE Institution Request?

The documents required will depend on the transaction. A free zone admitting a BVI corporate shareholder may ask for a different set from a bank reviewing an account or an investor conducting due diligence. Common requests include:

  • Certificate of incorporation: Evidence that the company was incorporated in the BVI.
  • Memorandum and articles of association: The company’s constitutional documents.
  • Certificate of good standing: Evidence of the company’s standing as stated by the Registrar on the certificate’s issue date.
  • Director evidence: A current director list or another document showing who manages the company.
  • Shareholder evidence: An appropriately authorised copy or certification of the register of members.
  • Beneficial ownership evidence: Information or a declaration suitable for the requesting institution’s compliance checks.
  • Corporate resolutions: Evidence that the company approved a particular transaction or authorised someone to sign.

A certificate of good standing deserves particular attention. BVI rules link its issue to matters that include required filings, fees and the company’s status. The certificate records specified facts at the time it is issued and has a stated validity period. It does not replace a current shareholder record or identify every person who ultimately controls the company.

Before requesting documents, send SFM the institution’s checklist or its exact wording. We can help avoid ordering a certificate that does not answer the question being asked.

Preparing Documents for Use in the UAE

Obtaining a BVI document is only part of the task. The receiving bank, free zone or other institution may specify how recent it must be and whether it needs certification, legalisation, attestation or translation. Requirements can differ even when two institutions ask for a document with the same name.

Tell SFM where the documents will be submitted and when they are needed. We can help confirm the requested format, coordinate with the relevant BVI registered agent and arrange the document set for the intended use. If legalisation or attestation is required, allowing time for it at the start is especially important when the receiving institution also requires a recently issued certificate.

The company’s records should be consistent across the submission. A director named in a resolution, for example, should match the current director's evidencedirector evidence. If ownership has recently changed, the shareholder and beneficial ownership information should be reviewed before documents are prepared.

Ask SFM for Your BVI Company Documents

SFM should be your point of contact when a bank, authority or business partner asks for information or documents relating to your BVI company. Send us the request, the name of the receiving institution, the purpose of the submission and any deadline.

We can help identify the relevant records, check whether company information needs updating, coordinate document requests and advise on the format required for submission. Where a record contains sensitive information, we will help determine the appropriate way to provide it and any authorisation needed. This gives you one point of contact for the document request while keeping the company’s BVI filing obligations in view.

FAQs About BVI Company Information

Is a BVI company’s shareholder register public?

Generally, no. A BVI company must generally file its register of members with the Registrar, but the filed register is normally restricted unless the company elects to make it public. If a bank or authority needs shareholder evidence, ask SFM to help arrange an appropriate document.

Can a certificate of good standing prove who owns the company?

No. It addresses the company’s standing and specified compliance matters at the time of issue. An institution seeking shareholder or beneficial ownership evidence may need separate documents.

Does a BVI company have to report its beneficial owners?

Generally, yes, unless an exemption applies. BVI rules require companies to identify relevant individuals and file the required beneficial ownership information. Changes must also be reported within the applicable period.

What should I do if my bank asks for a document I do not recognise?

Forward the bank’s request to SFM, including its full wording. Similar document names can refer to different forms of evidence. We can help identify what the bank needs and coordinate the appropriate request.

When should I tell SFM about a change in ownership or directors?

Tell us as soon as the change is planned or occurs. This allows time to review the filing requirements and keep the company’s records aligned with any documents you later need to provide.
