Why UAE Businesses Use BVI Companies

26 October 2026
Should UAE Businesses Choose BVI Company Incorporation?

In this article

BVI company incorporation remains one of the most popular structuring choices for UAE businesses that trade internationally, hold assets across borders or plan to bring in foreign investors. The British Virgin Islands offers a flexible corporate law, a familiar common law framework and a business company recognised by banks, investors and law firms worldwide. Since the UAE introduced federal corporate tax in 2023, however, the reasons for using a BVI company have shifted. This guide explains how a BVI company fits alongside a UAE operation, what has changed and how to set one up properly.

Why UAE Businesses Use BVI Companies

A BVI Business Company (BC) is incorporated under the BVI Business Companies Act 2004. It is one of the most widely used corporate vehicles in the world, and many UAE founders, family offices and trading groups use it as a holding or investment layer above their onshore or free zone entities.

The main reasons UAE businesses choose the BVI include:

  • Holding structures: a BVI company can own shares in a UAE free zone company, a mainland LLC and subsidiaries in other countries, keeping the group under one parent.
  • Investor familiarity: private equity funds and venture investors in the Gulf and beyond know BVI company law well, which can simplify shareholder agreements and future funding rounds.
  • Flexible share structures: BVI companies can issue different classes of shares, including preference and non voting shares, without minimum capital requirements.
  • Succession and asset protection: families often hold real estate, investment portfolios or business interests through a BVI company, sometimes combined with a trust such as a BVI VISTA trust.
  • Ease of transfer: shares in a BVI company can be sold or transferred without changing the ownership of each underlying operating company.

For many groups, the BVI company does not replace the UAE entity. It sits above it, while the day to day trading and staff remain in Dubai, Abu Dhabi or another emirate.

How UAE Corporate Tax Affects a BVI Structure

The UAE federal corporate tax regime applies to financial years starting on or after 1 June 2023. Taxable income above AED 375,000 is generally taxed at 9%, while qualifying free zone persons can benefit from a 0% rate on qualifying income if they meet the relevant conditions. You can read more in our overview of the new corporate tax in the UAE.

This matters for BVI structures for one key reason: tax residency follows management. Under UAE rules, a foreign company can be treated as a UAE tax resident if it is effectively managed and controlled in the UAE. If the directors of a BVI company live in Dubai and make all the key decisions there, the BVI company may fall within the UAE tax net.

Place of Effective Management

Place of effective management looks at where strategic decisions are actually made. Relevant factors include where board meetings take place, where directors are based and where senior management works. A BVI company run entirely from a UAE office should be planned on the assumption that UAE tax residency could apply.

Practical Implications

This does not make a BVI company pointless for UAE businesses. It means the structure should be designed around genuine commercial reasons, such as holding, investment or investor requirements, rather than tax alone. Dividends received by a UAE resident company from qualifying shareholdings may also benefit from participation exemption rules, which can make a BVI holding layer workable within the UAE regime; a legal/tax advise is recommended.

BVI and UAE Entities Compared

The table below summarises how a BVI Business Company compares with common UAE company types.

Feature BVI Business Company UAE Free Zone Company UAE Mainland LLC
Corporate tax No BVI corporate tax (However, a BVI company may still be taxable in another jurisdiction, including the UAE if it is effectively managed and controlled there.) 0% on qualifying income, 9% otherwise 9% above AED 375,000
Minimum shareholders One One One
Local director required No No No
Minimum capital None Varies by free zone Varies by activity
Physical office Registered office only (Although a registered office is always required, a company carrying on a relevant activity may need adequate BVI premises and other substance appropriate to that activity.) Flexi desk or office required Office required
Trading in the UAE market Not directly Limited outside the free zone Yes
Residence visas No Yes Yes
Typical use Holding, investment, international trade Regional trading, services, holding Local trading and contracts

Many groups combine these vehicles. A BVI company might hold a Dubai company that employs staff and holds visas, while international contracts or investments sit at the BVI level.

Compliance Requirements for BVI Companies

BVI compliance has tightened significantly over the past decade. UAE owners should understand these obligations before incorporating.

Registered agent and office. Every BVI company must have a licensed registered agent and a registered office in the BVI. The agent keeps key company records and acts as the link with the Registry of Corporate Affairs.

Beneficial ownership. Beneficial owners must be identified and their details held through the BVI's secure search system. This information is not public, but it is available to competent authorities.

Register of members and directors. Registers of directors must be filed with the Registry, and amendments introduced from January 2023 also require the register of members to be filed. Changes must be updated within set timeframes.

Annual financial return. BVI companies must keep accounting records and file an annual financial return with their registered agent within nine months of the financial year end.

Economic substance. Under the Economic Substance (Companies and Limited Partnerships) Act 2018, BVI companies carrying on relevant activities, such as holding business, distribution and service centre business or intellectual property business, must meet substance tests or report where they are tax resident elsewhere. A BVI company that is tax resident in the UAE may be able to rely on that status, provided it can evidence it.

Annual fees. Government licence fees fall due each year, and late payment triggers penalties. SFM's BVI company rates page sets out current costs for incorporation and renewal.

Banking for a BVI Company Owned From the UAE

Bank account opening is often the most demanding part of the process. Banks apply strict due diligence to offshore companies, and they will want to understand who owns the company, where the money comes from and what business it conducts.

Options typically include:

  1. A UAE bank account. Some UAE banks will open accounts for foreign companies with UAE resident owners, especially where there is a clear link to a UAE operation. Expect detailed questions about activity and substance. SFM can assist with bank account opening in Dubai.
  2. An international bank account. Banks in Switzerland, Singapore, Hong Kong or Mauritius may accept BVI companies with a strong business profile.
  3. Electronic money institutions. Payment platforms can be a practical option for trading companies, although services and limits vary.

A clear business plan, contracts with suppliers or clients and evidence of source of funds will make any application far smoother.

How to Incorporate a BVI Company From the UAE

The incorporation itself is straightforward once documents are ready. A typical process looks like this:

  1. Define the purpose. Decide whether the company will hold shares, trade, invest or own assets. This shapes the share structure and the substance analysis.
  2. Choose a company name. The name must end with a recognised suffix such as Limited, Ltd, Corporation or Inc.
  3. Prepare KYC documents. Shareholders, directors and beneficial owners provide certified passport copies, proof of address and, in most cases, a professional reference or bank reference.
  4. Agree the share structure. Set the number and classes of authorised shares. There is no minimum paid up capital.
  5. File with the Registry. The registered agent files the memorandum and articles of association. Incorporation is usually completed in approximately 2–3 business days after identification documents are validated.
  6. Receive corporate documents. You receive the certificate of incorporation, memorandum and articles, registers and share certificates.
  7. Open a bank account and set up compliance. Arrange banking, accounting records and the economic substance classification.

FAQs About BVI Company Incorporation for UAE Businesses

Can a UAE resident own 100% of a BVI company?

Yes. There are no nationality or residency restrictions on shareholders or directors of a BVI company. A UAE resident can be the sole shareholder and sole director, provided full KYC documents are supplied to the registered agent.

Do I need to visit the BVI to incorporate?

No. The entire process can be completed remotely through a licensed registered agent. Documents are usually certified locally in the UAE and sent electronically, with originals couriered if required.

Can a BVI company obtain UAE residence visas?

A BVI company cannot sponsor UAE visas on its own. To obtain visas, the BVI company would usually own a UAE free zone or mainland company, which then sponsors the owners and employees.

Can a BVI company own a UAE free zone company?

Yes. Most UAE free zones accept a corporate shareholder, including a BVI company, subject to providing certified and sometimes attested corporate documents. Requirements differ between free zones, so it is worth confirming them before incorporation.

Can an existing company move to the BVI?

In many cases, yes. The BVI allows foreign companies to continue into the BVI through redomiciliation, provided the original jurisdiction permits it. SFM can advise on company redomiciliation and the steps involved.
